1. Agreement
By creating an account, purchasing a subscription, or using 360VTS, you agree to these Terms of Service and acknowledge the 360VTS Privacy Policy. If you are using 360VTS on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old and legally able to enter into a binding agreement to maintain a paid 360VTS account.
2. The service
360VTS provides tools for creating, organizing, hosting, sharing, and embedding virtual tours using user-supplied images and settings. Features may include projects, panoramic scenes, hotspots, public links, website embeds, account-level image allowances, and subscription-management tools.
3. Accounts
You agree to provide accurate account information, maintain the security of your password and email account, and promptly update information that materially changes. You are responsible for activity performed through your account except to the extent caused by 360VTS's own unlawful conduct or security failure.
When you create an account, 360VTS records the version and effective date of the Terms you accepted and the date and time of that acceptance. We may also record the version, effective date, and acknowledgment time for the Privacy Policy.
You may not share credentials in a way that bypasses account restrictions, impersonate another person, or attempt to gain unauthorized access to another account or to administrative features.
4. Subscriptions and billing
Paid plans are billed on the interval and at the price displayed at checkout. Unless otherwise stated, paid 360VTS subscriptions renew automatically until canceled. Subscription payments are processed by Stripe.
Available plan changes may take effect immediately or at the next renewal as shown in the account interface. An upgrade may result in a prorated charge. A downgrade may be scheduled for the next renewal period. When you cancel through the available cancellation controls, cancellation is generally scheduled for the end of the current paid billing period unless the interface states otherwise.
Promotional codes are valid only when accepted by Stripe Checkout and may be subject to eligibility, expiration, redemption, plan, or usage restrictions. We may modify or discontinue promotional offers at any time to the extent permitted by law.
Except where required by law or expressly stated otherwise, fees already paid are non-refundable. Taxes, if applicable, may be added to charges.
5. Your content
You retain ownership of images and other content you upload to 360VTS. You grant Diamond Piper Software LLC a limited, non-exclusive license to host, copy, process, resize, transmit, display, back up, and otherwise use that content only as reasonably necessary to operate, secure, support, and provide 360VTS.
You are responsible for ensuring that you have the rights, permissions, and releases needed for content you upload or publish, including photographs, trademarks, copyrighted material, property images, and other third-party content.
6. Public tours and embeds
If you make a tour public, share its public link, or embed it on another website, you authorize 360VTS to deliver the selected tour content to people who access that link or website. Public links may be forwarded or discovered by others. You are responsible for deciding what content is appropriate for public display.
7. Acceptable use and professional-use standards
360VTS is intended for professional and legitimate business use. You may not upload, store, publish, embed, share, or otherwise use the service for sexually explicit or pornographic material; obscene or excessively vulgar material; exploitative content; content that sexualizes, exploits, or endangers minors; unlawful content; or other content that Diamond Piper Software LLC reasonably determines is inconsistent with the professional nature of 360VTS.
You also may not use 360VTS to violate law; infringe intellectual-property, privacy, publicity, or other rights; harass or threaten others; publish hateful or discriminatory content; distribute malware or malicious code; attempt to defeat security or usage limits; interfere with the service; conduct unauthorized scraping or automated access; upload deceptive content; or use the service in a manner that creates unreasonable technical, legal, reputational, or security risk.
Diamond Piper Software LLC may remove, disable, or restrict access to content that it reasonably determines violates these Terms or is inconsistent with the professional nature of the service. Accounts associated with prohibited content may be suspended or terminated, particularly for serious or repeated violations.
360VTS does not undertake a general obligation to monitor or pre-screen every image, project, or upload, and we do not represent that every item is reviewed. We may review content when reasonably necessary to investigate reports, enforce these Terms, protect users or the service, respond to security concerns, or comply with law.
8. 360VTS ownership
Except for user content, 360VTS and its software, design, branding, documentation, interfaces, and related intellectual property are owned by Diamond Piper Software LLC or its licensors. These Terms do not transfer ownership of 360VTS software or branding to you.
9. Third-party services
360VTS may depend on third-party providers such as Stripe, hosting providers, infrastructure services, email-delivery services, browsers, and other internet services. Your use of third-party services may also be subject to their terms and policies. We are not responsible for third-party services outside our reasonable control.
10. Availability and changes
We may maintain, update, modify, add, remove, or discontinue features as the service evolves. We do not guarantee uninterrupted or error-free operation, and temporary outages may occur because of maintenance, technical failures, security events, internet conditions, or third-party services.
11. Suspension and termination
We may remove or restrict content and may suspend or terminate access when reasonably necessary to address prohibited or inappropriate content, nonpayment, security risk, unlawful conduct, material violation of these Terms, abuse of the service, or legal requirements. Serious violations, including prohibited sexual or exploitative content, may result in immediate removal or account termination where appropriate. You may stop using 360VTS and may cancel a paid subscription through the available account controls.
Account deletion may permanently remove projects, scenes, hotspots, and uploaded content from active systems. Some information may remain temporarily in backups or records retained for security, legal, accounting, enforcement, or dispute-resolution purposes.
12. Disclaimers
To the maximum extent permitted by law, 360VTS is provided on an "as is" and "as available" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will always be available, secure, uninterrupted, or error-free.
13. Limitation of liability
To the maximum extent permitted by law, Diamond Piper Software LLC and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, or data arising from use of or inability to use 360VTS.
To the maximum extent permitted by law, our aggregate liability for claims relating to 360VTS will not exceed the amount you paid to 360VTS during the 12 months immediately before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Diamond Piper Software LLC from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your content, your violation of these Terms, or your violation of another person's rights.
15. Governing law
These Terms are governed by the laws of the State of Wisconsin and applicable United States federal law, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise. Any court proceeding relating to these Terms will be brought in a court with jurisdiction in Wisconsin unless applicable law provides otherwise.
16. Changes and contact
We may update these Terms from time to time. Updated Terms will be posted with a revised version and effective date. When we determine that a change warrants renewed affirmative acceptance, continued access to 360VTS may be conditioned on accepting the updated Terms. Other changes may become effective through continued use to the extent permitted by law.
